Commercial License Agreement

Last updated: 27 October 2026

Plain-language summary: this is the license a company buys so that MinPin belongs to the organization rather than to one named person. You buy a number of seats, each seat is one person at a time, and you can move a seat to a different person when someone joins or leaves. It renews yearly. We invoice you, handle vendor paperwork, and answer support from a named address. Everything in the ordinary Terms of Service still applies, including the rules about only intercepting traffic you are authorized to inspect.

This Commercial License Agreement ("Commercial Agreement") applies where an organization purchases MinPin licenses for business use. It supplements our Terms of Service & License Agreement ("Terms"), which continue to apply in full. Where this Commercial Agreement and the Terms conflict, this Commercial Agreement governs, but only for the subject matter it addresses.

1. Definitions

2. When a Commercial License is required

A PRO Personal license covers one named individual, including a freelancer trading under their own name, and may be used for that individual's paid work. A Commercial License is required where any of the following applies:

If you are unsure which applies, contact licenses@minpinproxy.com and we will tell you which license you need. We would rather answer the question than sell you the wrong one.

3. Grant

Subject to this Commercial Agreement, the Terms, and payment of the applicable fees, we grant the Licensee a non-exclusive, non-transferable, revocable license, for the Subscription Term, to install and use MinPin for the Licensee's internal and client-facing business purposes, limited to the number of Seats purchased.

An Authorized User takes a Seat by activating MinPin with their name or work email, and may use it on up to three Macs at a time. Seats are counted per person, not per machine.

4. Seat reassignment

The Licensee may reassign a Seat from one Authorized User to another at any time, for example when someone joins or leaves the team. A Seat may not be shared between people concurrently, and may not be rotated between people to serve more users than Seats purchased.

Seats are managed from the private license management page linked in the license email. Removing a person there frees their Seat immediately; MinPin stops providing PRO features on that person's Macs at their next check-in with our license server, which happens whenever MinPin starts and about once a day while it runs and is online (up to 60 days if a Mac stays offline). A removed person or Mac cannot activate the license again unless the Licensee allows it again on that page. If the license key is shared outside the Licensee, the Licensee can replace it there: the old key stops working at each Mac's next check-in and a new key is emailed to the license contact. Keep the management link confidential: anyone with it can manage the Licensee's Seats.

5. Term, renewal and changes in size

The license runs for the Subscription Term and renews for successive terms of the same length unless either party gives notice before the renewal date. Seats may be added mid-term; they are charged pro rata for the rest of the term and can be used straight away. When Seats are reduced, the lower number of Seats applies as soon as the change is made, and any credit for the unused part of the term is applied at the next renewal.

If a renewal is not paid, the license ends at the end of the paid term, after a grace period of 7 days. Captured data, sessions, rules and settings created by Authorized Users remain on their machines and stay accessible; PRO features stop.

6. What is included

7. Restrictions

In addition to the restrictions in the Terms, the Licensee may not:

8. Acceptable use

MinPin decrypts and inspects network traffic. The acceptable-use obligations in the Terms apply to every Authorized User, and the Licensee is responsible for ensuring its Authorized Users comply. In an organizational context this specifically includes obtaining any authorization required to intercept traffic on systems the Licensee does not own, and complying with employment, privacy and computer-misuse law where its Authorized Users work.

9. Fees, invoicing and taxes

Fees are stated on the order and are exclusive of VAT, GST, sales tax and withholding taxes, which are the Licensee's responsibility where applicable. Payments are processed by our merchant of record, who acts as the seller for tax purposes. Invoices are payable within 30 days of issue unless otherwise agreed in writing.

10. Termination

Either party may terminate for material breach that is not remedied within 30 days of written notice. On termination, the license to use PRO features ends and the Licensee must stop using them. Fees already paid are non-refundable except as required by law or by our Refund Policy.

11. Warranty, liability and governing law

The warranty disclaimer, limitation of liability, and governing-law provisions in the Terms apply to this Commercial Agreement without modification.
